Terms of Service

Last updated: September 3, 2026

1. Who this agreement is between

These terms are between [contracting entity to be named] ("we", "us"), which operates the EduViola platform, and the organization that has been granted access to it ("you", "your organization"). They also apply to each person who signs in under your organization.

EduViola is a business service. An organization buys it so that its employees, contractors and members can be trained. It is not a consumer product, and nothing here limits you to personal or non-commercial use.

Where your organization and we have signed a separate written agreement, that agreement governs and these terms fill its gaps.

2. What the service does

EduViola hosts training. An organization that owns course material (a "provider") can grant another organization (a "client") a licence to teach that material to its own people, for a stated number of seats over a stated period. A client's administrators then invite their people, assign courses and learning paths, follow progress, and issue certificates on completion.

Each organization reaches the platform at its own address and sees only its own people, courses and records. Licensed material is reached through the licence and never through any other relationship between organizations.

3. Accounts, administrators and authority

• Your administrators act for your organization. When an administrator invites someone, assigns a course, changes a role or removes a member, that is your organization's act and you are responsible for it.

• Accounts are personal. Credentials must not be shared and one account must not be used by more than one person. Seats are counted per person, not per simultaneous sign-in.

• Anyone may register an account on the platform, but registering alone grants access to no organization's material. Access exists only where an administrator has invited the person and a licence or assignment covers them.

• You are responsible for telling your people that their training records are visible to your administrators, and for having whatever legal basis your own law requires before entering their details.

4. Licences and seats

A licence names the courses it covers, a seat limit for each, and the period it runs for. Seats are consumed as your administrators give people access and released when that access is withdrawn. The platform enforces the limit and will refuse to enrol somebody once a title's seats are full.

When a licence ends, access to the licensed material ends with it. Two things deliberately survive: the learning records your organization has accumulated, and any certificate already earned — a credential records something that happened, and withdrawing access to material does not unmake it.

Renewal is arranged between the organizations. The platform records a licence's terms but does not renew one on its own, and no licence renews automatically.

5. Course material and who owns it

Course material belongs to the organization that created it. A licence is permission to teach that material to your own people for the licence period. It transfers no ownership and grants no right to copy, republish, resell or adapt the material outside the platform.

Some courses include attachments a learner can download for their own study. Once a file has been downloaded, neither we nor the organization that owns it can retrieve or delete that copy. Providers should attach material on that understanding.

Where a provider has expressly granted onward rights on a title, the licensee may grant a further licence for that title to another organization, and may offer that title for sale on its own storefront. The share of either arrangement that returns to the content owner is recorded against the licence.

How that share reaches the content owner depends on which of the two it is. An onward licence is settled between the organizations: we record the figure and no money passes through us. A storefront sale is taken by card through our payment processor, so the buyer pays us and we account to the content owner for the recorded share.

6. Certificates

A certificate records that a named person completed a named course on a date, under the organization that issued it. Its design is captured at the moment of issue, so a later change to a template does not alter a credential already awarded.

Certificates are verifiable by anyone holding the verification code. Opening that code shows the holder's name, the course and the issuing organization without signing in — that is what makes a credential verifiable, and a code should be treated as shareable. Verification shows nothing else: no marks, no answers, no other record.

An issuing organization can revoke a certificate; a revoked credential stays checkable and reports itself as revoked rather than vanishing. Where a course sets a validity period, the credential reports itself as expired after it.

7. Fees

Fees for the platform and for licences are agreed in writing with your organization and invoiced outside the product. Nothing in the product changes a price, a plan or a seat entitlement; those are contract changes and go through us.

One thing is paid inside the product: where an organization sells a course on its storefront, the buyer pays by card through our payment processor and we receive that payment. We do not operate subscriptions or recurring billing — every sale is a single payment for a single course — and we do not calculate, collect or remit any tax on it. An organization that uses the platform only to train its own people, which is what most do, never meets this: internal training is not sold and takes no payment.

8. Availability and support

We work to keep EduViola available and will tell you about planned work that interrupts it. We do not currently offer a service-level agreement: no uptime percentage, no maintenance window, no guaranteed response time. If your organization needs commitments of that kind they must be agreed separately in writing. We would rather say that plainly than imply a standard we have not undertaken.

Support is by email at admin@eduviola.com.

9. Our access to your workspace

To support you we sometimes need to see what your administrators see. A support session is deliberately narrow: it is opened against a named organization, it expires on its own, and it is written to your organization's audit log.

Survey answers are withheld from support sessions entirely. Learners are told their responses go to their own organization, and supporting you is not a reason to break that.

10. Acceptable use

Use of EduViola is subject to our Acceptable Use Policy, which forms part of these terms. In short: do not share credentials or work around seat limits, do not copy or redistribute another organization's course material, do not attempt to reach data belonging to another organization, and do not upload unlawful or harmful files.

11. Personal data

Our Privacy Policy explains what personal data the platform holds, who can see it, where it is stored and how long it is kept. For the records of your own people, your organization decides what is entered and why, and we process it to run the service for you. A written data-processing agreement is available on request, and we recommend you ask for one.

12. Suspension and termination

Either party may end this agreement on written notice. We may suspend an account or an organization immediately where that is necessary to protect the platform, another customer or someone's safety, or where fees are unpaid — and we will tell you why.

After termination we will give your organization a reasonable opportunity to export its learning records before they are removed. Certificates already issued remain verifiable, so the people who earned them are not stranded.

13. Warranties and liability

We provide EduViola with reasonable skill and care. Beyond that, and so far as the law allows, the service is provided as it is: we do not warrant that it will be uninterrupted or error-free, and we do not warrant that any course material is accurate, complete or fit for a particular purpose — course material is written by the organization that owns it, not by us.

Neither party is liable for indirect or consequential loss, or for lost profits, revenue or goodwill. Our total liability in any twelve-month period is limited to the fees your organization paid us in that period. Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

14. Changes

We may change the service and we may change these terms. For a change that materially reduces what your organization gets, we will give reasonable advance notice to your administrators by email or by posting it here. Continuing to use EduViola after a change takes effect means your organization accepts it. The platform does not currently record who accepted which version, so that notice and this page are the record.

15. Governing law

This agreement is governed by the laws of [governing jurisdiction to be named], whose courts have exclusive jurisdiction over any dispute arising from it.
